Accepting the Terms

By engaging Lite Incorp's services — whether through our website, direct communication, or by signing a service agreement — you confirm that you have read, understood, and agree to be bound by these Terms of Service.

These terms apply to all services offered by Lite Incorp, including company incorporation, company secretarial services, accounting, tax filing, and audit facilitation in Malaysia. If you do not agree with any part of these terms, please do not proceed with our services.

These terms constitute a legally binding agreement between you (the client) and Lite Incorp Sdn. Bhd. If you are engaging on behalf of a company or entity, you confirm you have the authority to bind that entity to these terms.

Changes to Terms

Lite Incorp reserves the right to update or modify these Terms of Service at any time. When we do, we will revise the "Last Updated" date at the top of this page and, where appropriate, notify you by email.

Your continued use of our services following any changes constitutes your acceptance of the revised terms. We encourage you to review this page periodically to stay informed.

Significant changes — such as adjustments to pricing policy, service scope, or liability — will be communicated with at least 14 days' advance notice wherever possible.

Our Services

Lite Incorp provides professional business services in Malaysia, including but not limited to:

  • Company incorporation under the Companies Act 2016 (Sdn. Bhd. and LLP)
  • Ongoing company secretarial services as required by the Companies Commission of Malaysia (SSM)
  • Registered office address provision
  • Bookkeeping, accounting, and management accounts
  • Tax filing and compliance (income tax, SST registration)
  • Audit facilitation and referrals to licensed auditors

All services are subject to availability and applicable laws. Lite Incorp acts as a service provider — we do not provide legal advice. For legal matters, you should consult a licensed Malaysian lawyer.

Client Responsibilities

To deliver our services effectively, we rely on you to provide accurate, complete, and up-to-date information at all times. This includes personal identification documents, business information, director and shareholder details, and any other documentation required for statutory filings.

You are responsible for:

  • Ensuring all information provided to us is truthful and accurate
  • Notifying us promptly of any changes to your company particulars
  • Responding to our requests in a timely manner to avoid delays
  • Complying with all Malaysian laws and regulations governing your business

Lite Incorp shall not be held liable for errors, penalties, or delays arising from inaccurate or incomplete information provided by the client.

Fees & Payment Policy

Lite Incorp operates on a flat-fee, transparent pricing model. All fees are clearly stated on our website and in your service agreement. There are no hidden charges, no surprise invoices, and no lock-in contracts unless explicitly stated.

Payment terms:

  • Incorporation fees are payable in full before work commences
  • Annual retainer services are billed upfront upon renewal
  • Government disbursements (e.g. SSM filing fees) are passed on at cost
  • Invoices are issued in Malaysian Ringgit (RM) and are subject to applicable taxes

Late payments may result in a suspension of services. Lite Incorp reserves the right to withhold statutory documents until outstanding fees are settled.

Confidentiality

Lite Incorp takes the confidentiality of your business information seriously. Any information you share with us in the course of service delivery will be used solely for the purpose of providing those services and will not be disclosed to third parties without your consent, except where required by law or regulatory obligation.

As a licensed company secretary practice, Lite Incorp is subject to professional obligations under Malaysian law, including anti-money laundering (AMLA) reporting requirements. We may be required to report suspicious transactions to the relevant authorities without notifying the client.

Intellectual Property

All materials, templates, processes, and tools created and used by Lite Incorp in delivering services remain the intellectual property of Lite Incorp. You may not reproduce, distribute, or repurpose these materials without our prior written consent.

Documents prepared specifically for your company — such as resolutions, constitutions, and statutory forms — become your property upon full settlement of fees.

Termination of Services

Either party may terminate the service engagement by providing 30 days' written notice. Upon termination, Lite Incorp will facilitate a smooth handover of your statutory records and documents to a replacement service provider or to you directly.

Lite Incorp reserves the right to terminate services immediately and without notice in cases of non-payment, breach of these terms, or where continuing the engagement would place Lite Incorp in violation of any applicable law or professional regulation.

No refunds will be issued for services already commenced or completed at the point of termination.

Limitation of Liability

Lite Incorp provides services with reasonable care and professional diligence. However, to the fullest extent permitted by Malaysian law, our total liability to you for any claim arising out of or related to our services shall not exceed the total fees paid by you in the three months preceding the claim.

We are not liable for losses arising from circumstances outside our control, including government processing delays, changes in legislation, client-provided errors, or force majeure events.

We are not liable for:

  • Penalties imposed by SSM, LHDN, or other regulators due to client non-disclosure
  • Business losses, loss of profit, or consequential damages
  • Third-party service failures (e.g. banking, auditors)

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Malaysia. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.
