About This Policy

This Engagement Policy governs the working relationship between you (the client) and Lite Incorp Sdn. Bhd. It sets out how we work together, what you can expect from us, and what we expect from you — covering everything from how we handle payments and refunds to how either party may end the engagement.

This policy is designed to be fair, transparent, and unambiguous. It applies to all services we provide, including company incorporation, company secretarial services, accounting, tax filing, and any other professional services delivered by Lite Incorp.

By engaging our services — whether through our website, a signed service agreement, or direct instruction — you confirm that you have read and agree to this policy in full.

Our commitment: We believe you should never be caught off-guard by how a service relationship works. If anything in this policy is unclear, please reach out before you engage — we are happy to walk you through it.

How We Work Together

When you engage Lite Incorp, you are entering into a professional services relationship. Our role is to deliver the agreed scope of work with care, accuracy, and efficiency. Your role is to provide us with the information and access we need to do that well.

What we commit to you:

  • Delivering services within the agreed timeframe, subject to third-party factors such as SSM processing times
  • Keeping you informed of progress and any issues that arise
  • Maintaining the confidentiality of your documents and personal data
  • Charging only what was agreed — no surprise invoices, no hidden add-ons
  • Assigning a dedicated point of contact for your account

What we need from you:

  • Providing accurate and complete information at the point of engagement
  • Responding to our requests promptly to avoid delays in your timeline
  • Notifying us immediately of any changes to the information you have provided
  • Settling invoices by the due date to ensure continuity of service

Delays caused by late client responses, incomplete information, or outstanding payments are not within our control and will not entitle you to a refund or fee reduction.

Fees & Payment Terms

Lite Incorp operates on a flat-fee pricing model. All fees are published on our website or quoted to you in writing before work begins. What you see is what you pay.

Payment schedule:

  • Incorporation services — full payment is required upfront before any work commences
  • Annual secretarial retainer — invoiced annually, payable upon renewal
  • Accounting & tax services — invoiced upon completion of each engagement or as agreed in writing
  • Ad-hoc services (resolutions, share transfers, etc.) — payable before the relevant filing or document is issued

Government disbursements:

SSM filing fees, stamp duties, and other government charges are either included in our published package price or passed on to you at cost with no markup. This will always be clearly stated in your quotation.

Payment methods accepted: Online banking (FPX), bank transfer, and major debit/credit cards. All amounts are in Malaysian Ringgit (RM) and subject to applicable taxes where required by law.

Refund Policy

We understand that circumstances change. Our refund policy is built to be fair — protecting your interests as a client while reflecting the real work and costs involved at each stage of an engagement.

Incorporation services

Full Refund

Before work begins — If you cancel before we have started any work on your application (typically within 24 hours of payment), you are entitled to a full refund, minus any payment processing fees.

Partial Refund

After work has started, before SSM submission — If your application is in progress but has not yet been submitted to SSM, a partial refund may be issued at our discretion, reflecting costs already incurred (name reservation, document preparation, KYC processing). A minimum administrative fee of RM200 will be retained.

No Refund

After SSM submission — Once your application has been submitted to SSM, no refund can be issued. Government fees are non-recoverable, and professional work has been fully rendered at this stage.

Case-by-Case

SSM rejection due to name conflict or eligibility — If SSM rejects your application for reasons outside your control (e.g. name conflict after reservation), we will resubmit at no additional professional fee. Government fees for the re-submission will apply. A partial or full professional fee refund may be considered depending on the circumstances.

Annual retainer & ongoing services

Fees paid for annual secretarial retainers or ongoing service packages are non-refundable once the service period has commenced. If you choose to terminate mid-year, your coverage remains active until the end of the paid period. No pro-rated refunds are issued for unused months.

To request a refund, email us at hello@liteincorp.com with your name, company name, and the reason for your request. We will respond within 5 business days.

Scope of Work & Exclusions

Each service package has a defined scope. Work that falls outside the agreed scope will be quoted separately and will require your written approval before we proceed.

Not included in standard incorporation:

  • SST (Sales & Service Tax) registration — available as an add-on
  • Employer registration with KWSP (EPF), PERKESO (SOCSO), or HRD Corp
  • Business licences specific to your industry (e.g. F&B, finance, healthcare)
  • Trademark registration
  • Legal advice on shareholder agreements or employment contracts
  • Accounting, bookkeeping, or tax filing after incorporation

We will always flag these gaps and offer to assist — but they will be quoted separately. You will never be billed for something you did not ask for.

Government processing times:

Our quoted timelines (e.g. 2–3 working days for incorporation) reflect normal SSM processing under standard conditions. During high-volume periods or public holidays, SSM may take longer. These delays are beyond our control and do not constitute a service failure or grounds for a refund.

Late Payment & Service Suspension

Timely payment is essential for us to maintain continuity of service, particularly for ongoing secretarial and compliance obligations that have statutory deadlines.

What happens when payment is overdue:

  • 7 days overdue — a payment reminder is sent via email and WhatsApp
  • 14 days overdue — a formal notice is issued; new work on your account is paused
  • 30 days overdue — services are suspended and statutory documents may be withheld pending settlement
  • 60 days overdue — the engagement may be terminated and the matter referred for recovery

Lite Incorp shall not be held liable for any SSM penalties, compliance failures, or regulatory consequences arising from service suspension due to non-payment.

Having cash flow difficulties? Please speak to us before your invoice becomes overdue. We would rather work out an arrangement than see your company fall out of compliance.

Cancellation & Termination

Either party may terminate an ongoing service engagement by giving 30 days' written notice via email. For one-off services (such as incorporation), cancellation terms are governed by the Refund Policy in Section 4.

On termination by the client:

  • We will prepare a complete handover of all statutory documents, registers, and filing records
  • Outstanding invoices must be settled in full before documents are released
  • We will co-operate fully with your incoming service provider to ensure a smooth transition

On termination by Lite Incorp:

We reserve the right to terminate the engagement immediately (without notice) in cases of non-payment beyond 60 days, a material breach of our terms, or where continuing the engagement would place Lite Incorp in violation of Malaysian law or professional regulations.

In the event of immediate termination, a pro-rated refund for any prepaid, unrendered services will be considered on a case-by-case basis.

Document Ownership & Handover

All statutory documents prepared by Lite Incorp on your behalf — including the Certificate of Incorporation, Constitution, registers, and resolutions — belong to your company. We act as custodian of these documents while engaged as your Company Secretary.

Upon termination of engagement:

  • All original statutory documents will be returned to you or transferred to your new service provider
  • We will provide a complete copy of your company's filing history for continuity
  • Digital records will be made available for download for a period of 30 days post-termination

Documents will only be withheld in cases where there are outstanding unpaid fees. Once settled, release will be completed within 5 business days.

Working documents, internal templates, and operational tools used by Lite Incorp to deliver services remain our intellectual property and will not be transferred.

Dispute Resolution

We genuinely hope disputes never arise — but if they do, we want them resolved fairly and efficiently, without unnecessary cost or stress to either party.

Step 1 — Direct resolution:

Please contact us at hello@liteincorp.com with a clear description of your concern. We commit to acknowledging all complaints within 3 business days and working toward a resolution within 14 business days.

Step 2 — Escalation:

If your concern is not resolved to your satisfaction, you may escalate it to our Managing Director in writing. We will conduct an internal review and respond with a final position within 21 business days.

Step 3 — Formal proceedings:

If the matter remains unresolved, either party may pursue formal dispute resolution under Malaysian law. This policy is governed by and construed in accordance with the laws of Malaysia. The courts of Malaysia shall have exclusive jurisdiction over any disputes.

Most issues can be resolved through honest conversation. We ask that you reach out to us directly before pursuing any formal route — we take every concern seriously.

Policy Updates & Contact

Lite Incorp reserves the right to update this Engagement Policy from time to time to reflect changes in our services, pricing model, or applicable Malaysian laws. When we make material changes, we will notify existing clients by email with at least 14 days' notice before the changes take effect.

The most current version of this policy will always be available on our website. Continued use of our services after any update constitutes your acceptance of the revised policy.
